I am bidding for an opportunity to be an executive director of a limited company (company A). The company (A) has indicated that they will want to engage me via my own limited company (company B) and pay on a daily rate.
Is there a way of arranging this so as to be outside IR35, or is the fact that I'll be an executive director a barrier? I will be the only executive director. Reading on the web tells me that I will likely be an office-holder, and that I could be treated as self-employed. I haven't yet been able to find information about this specific situation.
Company A is an industry association and is constituted as a company limited by guarantee. It has a board but no employees. Company B will be my own company and I will be an employed director of it. I will likely have considerable day-to-day freedom and discretion.
I'd be grateful for any tips and places to look.
