FO35 Contracts

This section contains model approved "business to business" contracts available as part of the FO35 system.

Available in word format, instructions on how to access them and download are contained in your FO35 system which is mailed to you following purchase of the FO35 system

As case law develops they will be updated to reflect the latest situation and an automatic email sent notifying you of the change.

The draft contracts included in the system represent the latest in case law and are the result of actual client negotiations.

This is a contract for use where an agent is involved. It sets out the relationship between the client and the agent and should be mirrored by the agreement between the agent and the consultancy (see the separate agent/consultancy contract section for details). It has been reviewed by Qdos and, in their opinion, it would be outside IR35 provided its terms are mirrored in all material respects by the agent/consultancy contract.

This is a contract for use where an agent is involved. It sets out the relationship between the freelancer and the agent and should be mirrored by the agreement between the agent and the client (see the separate agent/client contract section for details). It has been reviewed by Qdos and, in their opinion, it would be outside IR35 provided its terms are mirrored in all material respects by the agent/client contract.

This is a direct contract for use when there is no agent involved and the freelancer's business is contracting direct with the client. This contract has been reviewed by Qdos and, in their opinion, it would be outside IR35.
